Item 7.01 Regulation FD Disclosure.
On August 22, 2005, Equifax Inc. (the Company) and Richard F. Smith entered into an Employment Agreement regarding Mr. Smiths service as Chairman-Elect and Chief Executive Officer of the Company effective September 19, 2005. A brief summary of the material terms and conditions of the Employment Agreement was filed with the Companys Form 8-K on August 25, 2005, and is incorporated herein by reference.
We expect that the incremental impact of compensation and other expenses related to Mr. Smiths Employment Agreement on the Companys fully diluted earnings per share for the third and fourth quarters of 2005 will be approximately $0.03 and $0.01, respectively.
